TERMS AND CONDITIONS
These terms and conditions apply to purchases of goods and downloads from GepardGarn.com and exclusively govern transactions between businesses (B2B).
In these Terms and Conditions, "Seller" refers to GepardGarn.com, and "Buyer" refers to the business entity ordering goods and/or digital products from the Seller.
- Scope
1.1 These terms and conditions regulate the contractual relationship between the Buyer and the Seller concerning purchases of physical goods and digital downloads via GepardGarn.com.
1.2 By making a purchase from the Seller, the Buyer accepts these terms and conditions in full.
1.3 These terms prevail over any conflicting or deviating terms in the Buyer's purchasing conditions or other documents, unless explicitly agreed upon in writing.
- Conclusion of Agreement
2.1 All stated prices, product details, and other information on the Seller's website do not constitute binding offers but invitations to submit an offer.
2.2 A binding agreement is established only when the Seller has confirmed the order in writing (order confirmation). The Seller reserves the right to refuse orders, such as in cases of suspected fraud, insufficient creditworthiness, or unforeseen technical/pricing errors on the website.
- Prices and Payment
3.1 Prices
• All prices are listed in DKK or EUR, excluding VAT, unless otherwise stated.
• Prices exclude any duties, customs fees, or similar charges applicable for deliveries outside Denmark/EU.
3.2 Payment Terms
• The Seller accepts Visa, MasterCard, PayPal, and invoice payment for approved business customers.
• Invoice payments are due within 14 days of the invoice date, unless otherwise agreed in writing.
• Late payments incur reminder fees and default interest according to applicable Danish law.
3.3 Invoice Payment
• Invoice payment is available only to selected customers approved by the Seller.
• The Seller may at any time require security or advance payment if there is doubt regarding the Buyer’s financial capability.
- Retention of Title
4.1 The Seller retains ownership of the delivered goods until full payment, including interest and costs, is made by the Buyer.
4.2 In case of payment default by the Buyer, the Seller is entitled to reclaim the goods without prior judgment or court order.
- Delivery and Shipping
For detailed information on shipping, delivery, transfer of risk, and related terms, refer to our Shipping and Delivery Terms, which form an integral part of these terms and conditions.
In case of discrepancies between these general terms and the Shipping and Delivery Terms, the latter shall prevail regarding shipping and delivery.
5.1 Delivery Information
• The Buyer is responsible for providing accurate and complete delivery information, including delivery address, contact person, phone number, etc. The Seller is not liable for delays, misdeliveries, extra costs, or losses resulting from incorrect or incomplete information provided by the Buyer. Changes after placing an order must be promptly communicated to the Seller; associated additional costs shall be borne by the Buyer.
5.2 Delivery Time
• Delivery timing and methods are specified in the order confirmation.
• The Seller strives to meet the indicated delivery times but minor delays may occur. The Seller is not liable for delays caused by circumstances beyond the Seller’s control (see Section 13, Force Majeure).
5.3 Shipping
• Goods are shipped via Post Nord, GLS, DPD, UPS, or another suitable carrier selected by the Seller.
• Shipping costs are indicated in the order confirmation or communicated during ordering.
• Risk for the goods transfers to the Buyer upon handover to the carrier.
5.4 Deliveries Outside Denmark/EU
• Shipments outside Denmark/EU may incur customs duties, taxes, and other fees for which the Buyer is solely responsible.
- Digital Downloads
6.1 Delivery of Digital Products
• Digital products (downloads) are delivered via email or download link to the email address provided by the Buyer.
• Delivery usually occurs immediately upon receipt of payment unless otherwise stated.
6.2 Usage Rights
• Purchase of digital products grants the Buyer a non-exclusive license to use the product.
• The Buyer may not share, sell, or otherwise distribute digital products to third parties unless explicitly agreed upon in writing with the Seller.
- Complaints and Defects
7.1 Obligation to Inspect
• Upon receipt, the Buyer must immediately inspect the goods and report defects in writing to the Seller within a reasonable timeframe (no later than 8 days).
• Photographic documentation of defects is required.
• Failure to timely report defects results in loss of the Buyer’s right to claim the defect.
7.2 Remediation
• In the event of a justified complaint, the Seller may choose either to rectify the defect or replace the product within a reasonable timeframe.
• Rectification or replacement is free of charge unless the complaint proves unfounded.
7.3 Returns
• Goods can only be returned after prior written agreement with the Seller.
• Goods returned without agreement will neither be accepted nor credited.
- Limitation of Liability
8.1 Direct and Indirect Losses
• The Seller is not liable for indirect losses, including but not limited to operational losses, lost profits, data loss, or consequential damages arising from using goods or digital products.
• Liability is limited to direct losses and shall not exceed the total purchase price of the related order.
8.2 Product Liability
• Danish mandatory laws govern product liability.
• The Seller is not liable for damage to real estate or personal property occurring while the product is in the Buyer’s possession or for damage to products manufactured by the Buyer.
- Intellectual Property Rights (Digital Products)
9.1 All intellectual property rights in delivered digital products remain with the Seller or its licensors.
9.2 Purchase of digital products does not transfer intellectual property rights.
- Confidentiality
10.1 Parties mutually undertake to handle all technical, commercial, and financial information received from the other party confidentially.
- Personal Data
11.1 Data Processing
• Personal data of Buyer’s employees or representatives processed by the Seller comply with the Seller’s Confidentiality Statement (available on www.Gepardgarn.com HERE).
• The Buyer must inform employees/representatives about this data processing.
- Force Majeure
12.1 The Seller is not liable for non-performance due to force majeure, including war, strikes, epidemics, IT breakdowns, or similar.
12.2 Obligations affected by force majeure are suspended during the event. If lasting over 60 days, either party may terminate the agreement without liability.
- Law and Jurisdiction
13.1 Disputes are governed by Danish law, excluding international private law rules.
13.2 Disputes shall be resolved by Danish courts with Lyngby District Court as first instance.
- Assignment
14.1 The Seller may assign rights and obligations to third parties.
14.2 The Buyer requires prior written consent from the Seller for assignment.
- Effective Date and Amendments
15.1 These terms apply from 24-01-2025, replacing previous versions.
15.2 The Seller may amend these terms; significant changes will be notified reasonably in advance.

Should you wish to lodge a complaint regarding the Company's handling of your information, you may submit your complaint to the Danish Data Protection Authority (Datatilsynet) or the relevant supervisory authority in your country of residence or business.
SHIPPING AND DELIVERY TERMS
These shipping and delivery terms apply to all orders placed with Gepard Garn unless otherwise agreed upon in writing by the parties.
- Delivery Time and Method
1.1 Estimated Delivery Time
• The Seller strives to dispatch in stock items within 24 hours of order receipt.
• Reservations are made for stock errors and situations where goods are mistakenly indicated as being in stock.
• The Seller cannot guarantee a specific delivery time, as external factors and shipping companies may cause delays.
1.2 Shipping Methods
• Orders will be shipped via the courier selected at checkout or any other shipping solution deemed more appropriate by the Seller for the customer's benefit.
• Upon dispatch, the Buyer will receive an email confirmation.
• A package tracking link will be included if available.
1.3 Partial Deliveries
• If individual items are not in stock, the Seller may opt for partial delivery.
• The Buyer will be informed via email about any backordered items.
• The estimated delivery date for the remaining items will be provided.
- Confirmation and Order Processing
2.1 Order Confirmation
• Immediately after placing an order, the Buyer will receive an automated email order confirmation.
• In case of stock errors or unforeseen circumstances affecting the order, the Seller reserves the right to contact the Buyer to modify or cancel the order.

- Shipping Costs
3.1 Standard Shipping
• Shipping costs are stated in the order confirmation or communicated prior to placing an order.
• If the Seller offers free shipping for orders exceeding a specific amount, this applies exclusively to deliveries within Denmark.
3.2 Deliveries Outside Denmark/EU
• Customs duties, taxes, and similar charges may apply to shipments outside Denmark/EU.
• These charges are solely the Buyer’s responsibility.
• Shipping costs for deliveries outside Denmark/EU are calculated separately.
• Costs will be indicated in the order confirmation or communicated before completion of the purchase.
- Transfer of Risk
4.1 Handover to Carrier
• Risk for goods transfers to the Buyer once goods have been handed over to the shipping carrier.
• The Seller is not responsible for loss or damage during shipment unless stipulated otherwise by mandatory statutory provisions.
- Delays and Reservations
5.1 Delays
The Seller is not liable for delays caused by circumstances beyond the Seller's control. Such circumstances include:
• Issues with the shipping carrier.
• Force majeure events (refer to any force majeure clause in general terms).
• Conditions attributable to the Buyer.
The Buyer cannot claim compensation for delayed delivery unless the delay is due to gross negligence by the Seller.
5.2 Reservations for Stock Errors
• The Seller reserves the right to correct inventory errors indicating an item as backordered or out of stock.
• In such instances, the Buyer will be promptly informed.
• The Buyer will have an opportunity to modify or cancel the order at no cost.
- No Special Delivery Times for Specific Goods
6.1 No Extended Delivery for Specific Items
• The Seller no longer stocks items requiring special handling or additional delivery time.
• Delivery times for all items follow the general terms set forth herein.
- Receipt and Complaints
7.1 Obligation to Inspect
• Upon receipt, the Buyer must immediately inspect delivered goods.
• The Buyer must verify that goods match the order and are undamaged.
• Any defects or damages must be reported to the Seller within a reasonable timeframe, as per the Seller's complaint procedures (see item 7 in general terms).
7.2 Refused Deliveries
• If the Buyer refuses to accept goods without prior agreement with the Seller, the Seller is entitled to charge costs associated with returning the goods.
• Additional shipping and handling fees may also apply.
- Changes and Updates
8.1 Ongoing Updates
• The Seller reserves the right to regularly amend and update these shipping and delivery terms.
• The currently applicable shipping and delivery terms will always be available on the Seller’s website.
8.2 Orders at Time of Change
• Orders placed prior to amendments to these terms will be processed according to the terms valid at the time of order placement, unless otherwise agreed.
